Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Expo Exchange platform, a business-to-business marketplace connecting companies seeking exhibition stand services (Exhibitors) with exhibition stand builders and suppliers (Contractors).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

You must be a legally registered business or authorized representative of a business to use this Platform. By using the Platform, you confirm that:

• You have authority to bind the business you represent
• All information provided is accurate and up to date

3. Platform Services

The Platform enables:

• Clients to post exhibition stand project tenders
• Vendors to submit bids for those tenders
• Communication between Clients and Vendors

We act solely as an intermediary and are not a party to any contract formed between Clients and Vendors.

4. User Accounts

To access certain features, you must create an account. You agree to:

• Keep login credentials secure
• Provide accurate and complete information
• Notify us immediately of unauthorized use

We reserve the right to suspend or terminate accounts at our discretion.

5. Tenders and Bidding

Clients:

• Must provide clear, accurate project details
• Are responsible for evaluating bids and selecting Vendors
• Enter into contracts directly with Vendors outside the Platform

Vendors:

• Must submit genuine, accurate bids
• Are responsible for delivering services as agreed
• Must comply with all applicable laws and industry standards

We do not guarantee:

• The quality of bids
• That a tender will receive bids
• That agreements will be fulfilled

6. Fees and Payments

• We may charge service fees, commission, subscription fees, or listing fees
• Fees will be clearly communicated before being charged
• Payments between Clients and Vendors are handled outside the Platform unless stated otherwise

All fees are non-refundable unless otherwise specified.

7. Prohibited Use

You agree not to:

• Post false, misleading, or fraudulent information
• Circumvent the Platform to avoid fees
• Use the Platform for illegal purposes
• Interfere with or disrupt the Platform
• Attempt to gain unauthorized access

8. Intellectual Property

All content, trademarks, and technology on the Platform are owned by or licensed to Expo Exchange LTD.

Users retain ownership of content they upload but grant us a worldwide, non-exclusive license to use, display, and promote such content for operating the Platform.

9. Disclaimers

The Platform is provided "as is" and "as available."

We do not guarantee:

• Continuous or error-free operation
• Accuracy of user-generated content
• Quality, safety, or legality of services offered

10. Limitation of Liability

To the maximum extent permitted by law, Expo Exchange shall not be liable for:

• Indirect or consequential losses
• Loss of profits, business, or data
• Disputes between Clients and Vendors

Our total liability shall not exceed the amount paid by you to us in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless Expo Exchange from any claims, damages, or expenses arising from:

• Your use of the Platform
• Your breach of these Terms
• Any agreements you enter into with other users

12. Termination

We may suspend or terminate your access:

• If you breach these Terms
• If required by law
• At our discretion with reasonable notice

You may stop using the Platform at any time.

13. Governing Law

These Terms are governed by the laws of England & Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance.

16. Relationship Between Parties

Nothing in these Terms creates any partnership, joint venture, or employment relationship between:

• Expo Exchange and users
• Clients and Vendors (beyond their independent agreements)

17. Disputes Between Users

You are solely responsible for disputes with other users.

We may, but are not obligated to:

• Assist in dispute resolution
• Remove users involved in disputes

18. Force Majeure

We are not liable for failure or delay caused by events beyond our control, including:

• Natural disasters
• Internet outages
• Government actions
